PRIVATIZATION STRATEGY

With PHC decision dated 05.02.2002 with number 2002/06 it is decided that; "TEKEL be privatised by employing one or more of the methods of selling, leasing, assigning the right to operate, establishing intangible rights of ownership and any other legal disposition that is suitable for the requirements of the business, either together or separately" 

SUMMARY OF PRIVATIZATION IMPLEMENTATION

·      TTA/TEKEL alcoholic beverages section privatized by a block sale of 100% of shares for USD 292 million to Nurol-Özaltın-Limak-Tütsab Consortium and the Share Purchase Agreement signed on February 27, 2004.

·          The privatization tender of  the assets as a whole, related to the tobacco products manufacturing business of TEKEL and Sigara Sanayii İşletmeleri ve Ticareti A.Ş a subsidiary of TEKEL, announced on 26 October 2007 via “sale” and “establishment of property rights other than ownership (usufruct right)” method within the framework of the provisions of the Privatization Law No. 4046.

TTA/TEKEL Sigara Sanayii İşletmeleri ve Ticareti A.Ş privatized for USD 1.720 million to the British American Tobacco  and the sale contract  signed on June 24, 2008.

·          TEKA the cigar production subsidiary of TTA/TEKEL privatized for USD 1.325 thousand to the İstanbul Tütün Mamulleri Sanayi ve Ticaret A.Ş and sale contract signed on 31 October 2005. 

·          Ankara Twin Towers of TTA that was the prestigous General Directorate building in Ankara, privatized for USD100 million. Sale contract signed on 31 December 2005.

·          Salt operations of TTA which are situated in the salt lake area; Kaldirim, Kayacik and Yavşan lake salt plants, privatized via transferring of management (usage) rights until the year 2031 and sale contracts signed as of

-          January 26, 2006 for Kaldirim Lake Plant,

-          January 26, 2006 for Kayacık Lake Plant,

-          March 02, 2006 for Yavşan Lake Plant.

-          The other salt transaction is Ayvalık Sea Salt Plant, due to 24.03.2010-2010/13 dated PHC decision, privatized for TL 9.000.000 via transferring of management (usage) rights until the year 2031 and sale contract signed as of 26.04.2010.

-          İzmir Çamaltı Sea Salt Plant, due to 24.03.2010-2010/12 dated PHC decision, privatized for TL 115.000.000 via transferring of management (usage) rights until the year 2031 and sale contract signed as of 26.04.2010.

-          Real estates of TTA/TEKEL have also been privatizing via Transferring or Sale methods.

-          Privatization studies for TTA’s subsidiaries and affiliates has been going on;

-          51% TTA share in Kıbrıs Türk Tütün Endüstrisi Limited Şirketi, 

-          48% TTA shares Reytek Tütün Sanayi ve Ticaret Anonim Şirketi,

-          20% TTA shares in JTI Central Asia LLP
